This Terms of Service Agreement (hereinafter “Agreement” or “Terms”) constitutes a legally binding contract between QDN Technologies dba Quick Doctors Note (hereinafter “Company,” “we,” “us,” “QuickDoctorsNote.com” or “our”) and any individual, entity, or organization (hereinafter “User,” “you,” or “your”) accessing, utilizing, or purchasing services through QuickDoctorsNote.com or any affiliated platforms, applications, or services (collectively, the “Platform”).

BY ACCESSING, UTILIZING, OR CONDUCTING ANY TRANSACTION ON THE PLATFORM, YOU HEREBY ACKNOWLEDGE, REPRESENT, AND WARRANT THAT:
(a) You have read, understood, and agree to be bound by all terms and conditions contained herein;
(b) You have the legal capacity and authority to enter into this Agreement; and
(c) If you do not agree to any provision of these Terms, you must immediately cease all use of and access to the Platform.

1. NATURE AND SCOPE OF SERVICES

1.1 Platform Description

The Platform operates exclusively as an automated document generation service that enables users to create customizable documents for informational and record-keeping purposes. The Platform’s services are strictly limited to document generation and customization functionality.

1.2 Express Disclaimers and Limitations

THE USER EXPLICITLY ACKNOWLEDGES AND AGREES THAT:

(a) MEDICAL SERVICES DISCLAIMER:

• The Platform is NOT a healthcare provider, medical institution, or medical service.
• No medical advice, diagnoses, or treatment recommendations are provided.
• Generated documents do NOT constitute official medical records or certifications.
• The Platform does NOT employ or contract with licensed medical professionals.

(b) LEGAL SERVICES DISCLAIMER:

• The Platform is NOT a law firm or legal service provider.
• No legal advice or services are rendered.
• Generated documents do NOT constitute legal advice or official legal documentation unless authorized by a licensed professional.

(c) DOCUMENT STATUS:

• All generated documents are for informational purposes only.
• NO document generated through the Platform shall be construed as:
  • An official medical record
  • A legally binding certification
  • An authenticated medical note
  • A substitute for official documentation

1.3 No Representations or Warranties

THE PLATFORM EXPRESSLY DISCLAIMS ANY REPRESENTATION OR WARRANTY THAT:

• Generated documents will be accepted by any third party.
• Documents will fulfill any specific purpose or requirement.
• Documents will be deemed valid by any institution or authority.

2. USER OBLIGATIONS AND PROHIBITED CONDUCT

2.1 User Representations and Warranties

By utilizing the Platform, you represent and warrant that you:
(a) Are at least 18 years of age or have obtained valid parental/guardian consent;
(b) Possess the legal capacity to enter into binding agreements;
(c) Will utilize the Platform solely for lawful purposes; and
(d) Will not engage in any fraudulent or deceptive practices.

2.2 Strictly Prohibited Activities

The following activities are STRICTLY PROHIBITED and constitute material breach of this Agreement:

(a) Fraudulent Use:

• Misrepresenting generated documents as official, licensed, or government-issued records.
• Using documents for fraudulent, deceptive, or misleading purposes.

(b) Unauthorized Distribution:

• Reselling or redistributing generated documents without authorization.

(c) Misrepresentation:

• Impersonating medical professionals or institutions.

2.3 Compliance Requirements

Users shall:
(a) Comply with all applicable laws and regulations;
(b) Accept full responsibility for document use and presentation;
(c) Indemnify the Platform against any misuse or illegal activities.

3. HIPAA COMPLIANCE AND DATA RESPONSIBILITY

3.1 User Responsibility for HIPAA Compliance

By using QuickDoctorsNote.com, you acknowledge that you are solely responsible for ensuring compliance with all applicable laws, including HIPAA. The Company does not provide legal or regulatory advice regarding your use of generated documents.

3.2 Prohibition of PHI Submission

Users agree not to submit any protected health information (PHI) through QuickDoctorsNote.com. The Company is not responsible for any breach of privacy or regulatory violations resulting from user-provided data.

4. LIABILITY LIMITATIONS AND INDEMNIFICATION

4.1 Comprehensive Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) The Platform shall not be liable for any:

• Direct, indirect, incidental damages related to document use;
• Employment-related consequences due to document rejection;
• Regulatory penalties arising from user non-compliance with laws like HIPAA.

(b) Users assume ALL risks associated with:

• Document generation and presentation;
• Acceptance/rejection by third parties;
• Consequences of misuse.

5. DATA SECURITY AND STORAGE

5.1 Limited Data Storage Disclaimer

QuickDoctorsNote.com does not store PHI but may store limited transactional data such as email addresses for operational purposes only. All stored data is encrypted and accessible only by authorized personnel.

5.2 Security Measures

The Company employs encryption protocols and access controls to safeguard stored data but disclaims liability for breaches caused by third-party actions beyond its control.

6. INDEMNIFICATION FOR REGULATORY COMPLIANCE

Users agree to indemnify QDN Technologies against claims arising from their failure to comply with applicable laws (e.g., HIPAA), misuse of documents, or fraudulent activities.

7. MODIFICATIONS AND UPDATES TO TERMS

QDN Technologies reserves the right to modify these Terms at any time without prior notice.
